            AAA MEDIA GALLERY TERMS OF USE

The AAA Media Gallery and the related software, data and/or technology used, stored, licensed or accessed in connection therewith and the related intellectual property rights embodied therein (collectively, the 'Media Gallery') are owned and operated by the American Automobile Association, Inc. ('AAA').  The AAA Media Gallery Terms of Use (the 'Agreement') is a legal agreement between You and AAA and governs Your Use of the Media Gallery.  AAA may revise and update the Agreement at any time and without notice.  It is Your responsibility to check the Agreement periodically for change.  Your continued access or use of the Media Gallery after any such changes are posted will constitute your acceptance of these changes.

AAA is willing to allow Your use of the Media Gallery only on the condition that You accept and agree to all of the terms and conditions contained in this Agreement.  By accessing or using any part of the Media Gallery, You acknowledge that You have read this Agreement, that You understand it and its terms and conditions, and that You agree to be legally bound by this Agreement.

DEFINITIONS.

'AAA Affiliates' means Member Clubs, AAA Holding Companies and any entities that any of the foregoing control, are controlled by or that are under common control with the foregoing.

'AAA Holding Companies' means Auto Club Enterprises, AAA Club Partners, Inc., AAA Motor Club Holdings, LLC, AAA Auto Club Group, Auto Club International and any successor or other entity hereafter designated by the AAA Board of Directors as a holding company for Member Clubs.

'Content' as used herein refers, collectively, to photographic images, graphic images, text, Footage, motion pictures, sound recordings and audiovisual files.

'End Use' means the final work product created with the Content as authorized hereunder.

'Footage' as used herein means any moving images, animations, films, videos or other audio/visual representations, excluding still images, recorded in any format. 

'Intellectual Property Rights' means rights in patents, copyrights, trade secrets, trademarks, and know-how, moral rights, and any other intellectual property rights recognized in any country or jurisdiction in the world.

'Licensor' means the copyright owner of Content.  For example, a Licensor may be a Stock Agency, Submitter, AAA, You or other third party that has copyright ownership of Content. 

'Member Club' means an entity that holds a valid and current Certificate of Membership issued by AAA or the Canadian Automobile Association.

'Proprietary Content' means Content owned by AAA. 

'Reproduction' and 'Reproduce' mean any form of copying or publication of the whole or a part of any Content, by any medium and by whatever means, the distortion, alteration, cropping or manipulation of the whole or any part of the Content, and the creation of any derivative work from, or that incorporates, the Content.

'Restricted Content' means the use of the Content is highly restricted and You must contact AAA if You wish to use Restricted Content.

'Rights Managed Content' means Content that has a copyright license which, if purchased by a user, allows the use of the Content as specified by the license.  Content must be relicensed for each use.  You must contact AAA if You wish to use the Rights Managed Content.

'Royalty-Free Content' means the right to use Content of copyrighted material or intellectual property without the requirement to pay additional royalties or license fees for each use or per volume sold, or some time period of use or sales.  Royalty-Free Content may be stored in perpetuity and used in perpetuity at AAA's sole discretion in the Media Gallery and shared with AAA Affiliates in accordance with the rights, obligations and limitations set forth in the agreements with the respective Licensor.

'Stock Agency' means an entity in the business of selling electronic/digital media, including royalty free electronic/digital media and from whom AAA has acquired certain rights and licenses for Content.

'Submitter' means an artist who provides Content to a Licensor.

'Submission' means any Content You submit, upload or input to the Media Gallery.

'You' or 'Your' means (a) a AAA Affiliate with access privileges to the Media Gallery or (b) a natural person authorized by a AAA Affiliate to act on behalf of said AAA Affiliate to access the Media Gallery ('User').  If User is acting on behalf of a AAA Affiliate then User represents and warrants that (x) User has the authority to bind, and has bound, such AAA Affiliate to the terms of this Agreement; and (y) the rights granted hereunder inure solely to the benefit of the AAA Affiliate to the exclusion of User.
USAGE RIGHTS.  Any and all usage rights granted herein to the Content available through the Media Gallery are conditioned upon Your compliance with all material provisions of this Agreement.  Your use is limited and You may not sell, rent, loan, give, or otherwise transfer the Content or any right granted herein.  Only You may use the Media Gallery Content and the End Use must be solely for Your own use.   You acknowledge and agree that You have no right to Reproduce or otherwise exploit any Media Gallery Content except as expressly authorized herein.

GRANT OF RIGHTS.

Royalty-Free Content.  AAA grants to You a perpetual, non-exclusive, non-sublicensable, worldwide right to download and Reproduce the Royalty-Free Content an unlimited number of times for the Permitted Uses of Royalty-Free Content below, subject to the Conditions On Use of Royalty-Free Content herein and subject to those Prohibited Uses of Royalty-Free Content pursuant to this Agreement.  Any breach of this Grant of Rights, which, if capable of cure, is not cured within thirty (30) days after receipt of written notice from AAA detailing the bases of the alleged breach and requiring remedy of that breach, may result in termination of Your access to and use of the Media Gallery.  

Other Content - Access Prohibited Without AAA Approval.  Content in the Media Gallery labeled as Rights Managed or Restricted are not available to You to access or download without explicit permission from AAA.  Please contact AAA Digital Media Services for more information and to make Your request.  If You are granted access to use Rights Managed Content or Restricted Content Your use may be additionally restricted and subject to fees and additional conditions and prohibitions.

PERMITTED USES OF ROYALTY-FREE CONTENT.  You may use Royalty-Free Content: (a) On web sites and social media, provided that no Royalty-Free Content is displayed at a resolution greater than 1200 x 800 pixels, except the resolution may be higher if the Royalty-Free Content is incorporated into a design with text or other Content and the overlaid or embedded text or other Content cover an area of at least thirty-three percent (33%) of the display size of the Royalty-Free Content; (b) in e-publications; (c) incorporated into software (including so-called "apps" or 'applications'), provided that the Royalty-Free Content or any digital files containing the Royalty-Free Content cannot be unincorporated from the software; (d) incorporated into magazines, journals, newspapers, almanacs, books, book covers, sheet maps, maps, textbooks, editorials and directories, including print on demand ("POD") books, provided that Royalty-Free Content does not comprise more than thirty-three percent (33%) of the total POD publication and in the advertising, marketing and promotion of such publications; (e) in coordination with opt-in email marketing; (f) incorporated into film, video, television series, advertisement, or other multimedia productions for distribution in any medium now known or hereafter devised; or (g) printed in physical form as part of product packaging and labeling, letterhead and business cards, point of sale advertising, CD and DVD cover art, or in the advertising and copy of tangible media, including magazines, newspapers, and books.

YOUR DERIVATIVE WORKS.  If You create a derivative work based on or incorporating any Royalty-Free Content, the Licensor has waived all rights, title and interest to such derivative works.  The Licensor has waived any and all rights, title and interests in Your Intellectual Property Rights for Your original creative elements in Your derivative works and Licensor agrees that such intellectual property rights belong solely to You.

PROHIBITED USES OF ROYALTY-FREE CONTENT.  You are prohibited to (a) use Royalty-Free Content other than as expressly permitted in this Agreement; (b) use Royalty-Free Content together with pornographic, defamatory, or unlawful content or in such a manner that it infringes upon any third party's trademark or intellectual property rights; (c) knowingly use the Royalty-Free Content in a way that places any person depicted in the Royalty-Free Content in a bad light or in a way that they may find offensive - this includes the use of Royalty-Free Content: (i) in a pornographic, defamatory, or deceptive context, or in a manner that could be considered libelous, obscene or illegal; (ii) in advertisements or promotional materials for tobacco products; (iii) in advertisements or promotional materials for adult entertainment clubs or similar venues, or for escort services; (iv) in advertisements or promotional materials for dating services; (v) in a political context, such as the promotion, advertisement or endorsement of any party, candidate or elected official, or in connection with any political policy or viewpoint; and (vi) in advertisements or promotional materials for pharmaceutical or healthcare, herbal or medical products, including, but not limited to dietary supplements, digestive aids, herbal supplements, personal hygiene or birth control products, if the use implies that the depicted person engages in any immoral or illegal activity or suffers from a physical or mental infirmity, ailment or condition; (d) make the Royalty-Free Content available (separate from the End Use) in any medium accessible by persons except as specifically provided herein; (e) make the Royalty-Free Content available in a manner intended to allow or invite a third party to download, extract, redistribute or access the Royalty-Free Content as a standalone file. Publicly displaying any Royalty-Free Content in any digital format or for any digital use at a resolution greater than 1200 x 800 pixels will be deemed to be an attempt to redistribute the Royalty-Free Content, except in editorial or preliminary design work or unless the Royalty-Free Content is incorporated into a design with text or other Royalty-Free Content and overlaid or embedded text or other Royalty-Free Content cover an area of at least thirty-three percent (33%) of the display size of the image; (f) use any Royalty-Free Content marked "Editorial Only" for commercial, promotional, endorsement, advertising or merchandising purposes; (g) use any Royalty-Free Content (in whole or in part) as a trademark, service mark, logo, or other indication of origin, or as part thereof, or to otherwise endorse or imply the endorsement of any goods and/or services; (h) falsely represent, expressly or by way of reasonable implication, that the Royalty-Free Content was created by You or a person other than the copyright holder(s) of that Royalty-Free Content; or (i) use 'stills' derived from Footage except solely in connection with the in-context marketing, promotion, and advertising of Your derivative works incorporating Footage;

CONDITIONS ON USE OF ROYALTY FREE CONTENT.  

Use on Your Website. If the Royalty-Free Content is Reproduced on a website You own, control or operate, You shall post terms and conditions on the website that prohibit downloading, republication, retransmission, reproduction or other use of the Royalty-Free Content as a stand-alone file;

Use Non-transferable.  Except as specifically provided in the Agreement, You may not and shall not sell, rent, loan, give, sublicense, or otherwise transfer to anyone any Royalty-Free Content or the right to use any Royalty-Free Content. You may transfer Royalty-Free Content to a third party for the sole purpose of causing such third party to produce and/or manufacture Your End Use incorporating Royalty-Free Content, subject to the terms and conditions of this Agreement. Also, Your End Use must be used only for You, Your client or customer, who must be the End User. You agree to take all commercially reasonable steps to prevent third parties from duplicating any Royalty-Free Content.

Condition of Royalty-Free Content.  You should examine all Royalty-Free Content for possible defects (whether digital or otherwise) before sending Royalty-Free Content for Reproduction.  AAA shall not be liable for any loss or damage suffered by You or any third party, whether directly or indirectly, arising from any alleged or actual defect in any Royalty-Free Content or its caption or in any way from its Reproduction.

Withdrawal of Content.  Upon notice from AAA, or upon Your knowledge that any Royalty-Free Content may be subject to a claim of infringement of another's right for which a Licensor may be liable, AAA may require You to immediately and at Your own expense: (i) stop using the Royalty-Free Content and (ii) delete or remove the Royalty-Free Content from Your computer systems, storage (electronic or physical) and Reproductions.

SUBMISSIONS.  

Grant of Rights.  When You make a Submission, You grant to AAA a worldwide, non-exclusive, transferable, royalty-free, perpetual, irrevocable right and license, without compensation: (a) to use, store, reproduce, distribute, adapt (including without limitation edit, modify, translate, and reformat), derive, transmit, display, publicly or otherwise any Submission, in any media now known or hereafter developed, for AAA purposes, the purposes of the Media Gallery, for sharing Your Submission with AAA Affiliates and archiving or preserving Your Submissions for disputes, legal proceedings, or investigations and (b) to sublicense the foregoing rights in connection with the implementation, administration, promotion of the Media Gallery to the maximum extent permitted by law and these Media Gallery Terms of Use.  AAA reserves the right to refuse to accept or to remove Your Submission from the Media Gallery for any reason.  If Your Submission is removed from the Media Gallery, You agree that existing licenses for previously downloaded instances of Your Submission will remain in effect.  If You believe Your Submission has been misused, You must first provide notice of such misuse to AAA before taking action against the User or AAA Affiliate alleged to have misused.  AAA shall not be responsible for the alleged misuse or infringement of any of Your rights in and to any of Your Submissions by another AAA Affiliate or User.

Representations and Warranties.  For each Submission You represent and warrant:  (a) that You have all rights necessary for You to grant the licenses granted herein; (b) Your Submission and provision thereof  through the Media Gallery, complies with all applicable laws, rules and regulations and does not infringe or otherwise violate the copyright, trademark, trade secret, privacy or other intellectual property or other rights of any third party; nor will Your Submission violate any third parties' rights of privacy or publicity; (c) Your Submission does not contain any malware, viruses, spyware or any other content that can cause damage to AAA Technology or the software, data or technology of AAA Affiliates; (d) You have obtained and can provide upon request to AAA, valid and accurate releases for all of Your Submissions that contains an identifiable face, or identifiable human figure or other identifiable attribute including, without limitation, voice, appearance or likeness; (e) You have obtained and will provide to AAA upon request, valid and accurate property releases for all Submissions that requires such releases; and, (f) You are solely responsible for retaining all original releases and maintaining complete and accurate release records.  You further irrevocably waive any droit moral, moral rights or other rights with respect to attribution of authorship or integrity of materials regarding each Submission that You may have under any applicable law under any legal theory.  You understand and agree that Your Submission shall be subject to the terms of this Agreement and that AAA and AAA Affiliates may use Your Submissions in accordance with this Agreement.

LINKED WEB SITES.  The Media Gallery or Media Gallery Content may provide links to third party Web sites for Your convenience only.  The inclusion of these links does not imply that AAA monitors or endorses these Web sites.  AAA does not accept any responsibility for such Web sites.  AAA shall not be responsible or liable, directly or indirectly, for any damage or loss, caused or alleged to be caused by or in connection with the use of or the reliance upon any information, content or services available on or through any third party Web site or linked resources.  AAA is not responsible or liable for any software, computer viruses or other destructive, harmful or disruptive files or programs that may infect or otherwise impact Your use of your computer equipment or other property on account of Your access to, use of, or browsing the Media Gallery, linked Web sites or Your downloading any of the Content from the Media Gallery or linked Web sites

YOUR INTELLECTUAL PROPERTY RIGHTS.   You retain ownership of all Your intellectual property rights, title, interest and ownership, in connection with or relating in any way to the End Use You created for which You accessed or downloaded Royalty-Free Content from the Media Gallery.  

SURVIVABILITY.  Sections on intellectual property, indemnification, severability, attorneys' fees and expenses, Royalty-Free Content and any other section of this Agreement that survives of necessity or by its express terms shall survive any termination or expiration of this Agreement.

CREDIT ATTRIBUTIONS AND COPYRIGHT NOTICES.  If a Licensor of Royalty-Free Content is accorded a credit attribution, You shall accord credit and provide a copyright attribution to the copyright holder and to the Licensor in connection with the use of any images in Your End Use. Such credit and attribution shall be in substantially the following form: "Image Copyright -Name of Artist/Licensor".  All credit attributions must appear on the copyright page or in the copyright section of the derivative work incorporating the Royalty-Free Content. If there is no copyright page or section, the notice and credit may be located any place on the work. In all cases the credit and attribution shall be of such size, color and prominence to be clearly and easily readable by the unaided eye.

INDEMNIFICATION TO AAA AND LICENSORS.

You agree to indemnify, defend and hold AAA, AAA Affiliates and each entity's respective present and former officers, members, directors, employees, representatives, attorneys, insurers and agents, and their successors, heirs and assigns, harmless from and against any and all losses, liabilities, Claims (i.e., a claim, action, proceeding, or demand made against a person or entity, however arising and whether present or future, fixed or unascertained, actual, threatened or contingent), costs, damages and expenses (including, without limitation, fines, forfeitures, and reasonable attorney fees, disbursements and administrative or court costs) ('Losses') directly or indirectly arising out of Your use of the Media Gallery, Your use of Media Gallery Content, Your Submissions or any related activities or any breach of this Agreement by You or Your officers, directors, members, employees, contractors, agents or representatives. 

Without limiting the foregoing, You agree that in the event any entity or individual brings a Claim against AAA, the Licensor from whom AAA acquired a license for Content, any of their affiliates or directors, employees, or agents of AAA, or AAA Affiliates, or Licensor third-party service provider (each an 'Indemnified Party') that arises in connection with Your use of the Media Gallery, including Your Submissions, and alleges (a) breach by You of any of the privacy or content  obligations hereunder; or (b) any violation of this Agreement, including but not limited to, infringement of any copyright, trademark or other intellectual property right, or (c) any violation of AAA's privacy policy, third party's rights of privacy, or privacy or data protection laws, You will defend and indemnify the Indemnified Parties against their Losses arising out of or in connection with a Claim that are directly or indirectly attributable to such Claim, whether such Losses finally awarded by a court of competent jurisdiction or agreed to in a written settlement agreement signed by the applicable party(ies).  For the avoidance of doubt, the foregoing includes, but is not limited to, any Losses that AAA incurs by reason of Claims brought against Licensor and for which Licensor seeks indemnification from AAA under the Agreement AAA has with the respective Licensor. 

AAA IS NOT LIABLE AND WILL NOT INDEMNIFY YOU FOR ANY ACTS OR OMISSIONS COMMITTED BY A LICENSOR OR SUBMITTER.  IN ADDITION, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, AAA AND ANY RESPECTIVE LICENSOR THAT IS NOT YOU, SHALL NOT BE LIABLE FOR ANY DAMAGES, COSTS OR LOSSES RESULTING FROM CLAIMS ARISING OUT OF: A) MODIFICATIONS MADE BY YOU TO MEDIA GALLERY CONTENT, B) AS A RESULT OF THE CONTEXT IN WHICH THE MEDIA GALLERY CONTENT IS USED BY YOU, OR C) THE USE OF MEDIA GALLERY CONTENT DESIGNATED "Editorial Only (RF)", 'Restricted' or 'Rights Managed'.

WARRANTY DISCLAIMER.  YOU, ACKNOWLEDGE AND AGREE THAT THE MEDIA GALLERY AND MEDIA GALLERY CONTENT ARE MADE AVAILABLE TO YOU AND ARE SUPPLIED TO YOU BY AAA AND THE RESPECTIVE LICENSORS AND AAA IS NOT RESPONSIBLE FOR THE PERFORMANCE (OR FAILURE OF PERFORMANCE) OF THE LICENSOR SERVICES.  YOU ACKNOWLEDGE AND AGREE THAT THE MEDIA GALLERY AND ALL MEDIA GALLERY CONTENT MADE AVAILABLE TO YOU ARE MADE AVAILABLE BY AAA ON AN 'AS IS' AND 'AS AVAILABLE' BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AND THAT YOUR USE OF THE MEDIA GALLERY CONTENT IS AT YOUR OWN RISK.  WITHOUT LIMITING THE FOREGOING, AAA SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, AND GUARANTEES WITH RESPECT TO THE MEDIA GALLERY AND MEDIA GALLERY CONTENT, WHETHER EXPRESS OR IMPLIED, ARISING BY LAW, CUSTOM, PRIOR ORAL OR WRITTEN STATEMENTS, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT.  NO REPRESENTATION OR OTHER AFFIRMATION OF FACT, INCLUDING, WITHOUT LIMITATION, STATEMENTS REGARDING CAPACITY, SUITABILITY FOR USE OR PERFORMANCE OF THE SERVICES, WHETHER MADE BY EMPLOYEES OF AAA OR LICENSOR OR OTHERWISE, WHICH ARE NOT CONTAINED IN THIS AGREEMENT, SHALL NOT BE DEEMED TO BE A WARRANTY BY AAA OR LICENSOR FOR ANY PURPOSE, NOR GIVE RISE TO ANY LIABILITY OF AAA OR LICENSOR WHATSOEVER. WITHOUT LIMITING THE FOREGOING, YOU ACKNOWLEDGE THAT YOUR ACCESS TO THE MEDIA GALLERY MAY EXPERIENCE HARD OUTAGES DUE TO INTERNET DISRUPTIONS WHICH ARE NOT IN THE CONTROL OF AAA.  ANY SUCH HARD OUTAGE SHALL NOT BE CONSIDERED A BREACH OF THIS AGREEMENT BY AAA.

LIMITATION OF LIABILITY.  AAA WILL NOT BE RESPONSIBLE TO YOU OR ANY THIRD PARTIES UNDER ANY CIRCUMSTANCES FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES OR LOSSES IN CONNECTION WITH THIS AGREEMENT, YOUR USE OF THE MEDIA GALLERY CONTENT OR ANY RELATED ACTIVITIES, EVEN IF AAA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.  AAA WILL NOT BE RESPONSIBLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT DAMAGES OR LOSSES.  IN ANY EVENT, AAA'S TOTAL MAXIMUM AGGREGATE LIABILITY HEREUNDER FOR ANY CLAIMS WHATSOEVER IS EXPRESSLY LIMITED TO $5,000.00.  SOME LICENSORS HAVE LIMITED THEIR LIABILITY FOR DAMAGES AND YOUR CLAIMS MAY BE SUBJECT TO SUCH LIMITATIONS.

AUDIT/CERTIFICATE OF COMPLIANCE.  You shall provide sample copies of Reproductions containing Royalty-Free Content to AAA, including by providing AAA with access to any restricted access website or platform where the Royalty-Free Content is Reproduced: (a) upon AAA's reasonable notice to You and not more than once per year; and (b) at any time AAA reasonably suspects a breach of any term or condition of this Agreement.  In addition, upon reasonable notice, AAA may, at its discretion, either through its own employees or through a third party, audit Your records directly related to this Agreement and use of Royalty-Free Content in order to verify compliance with the terms of this Agreement.  You will allow AAA or its duly authorized representatives access to such records and to make extracts there from as may be reasonably necessary to satisfy AAA of your compliance with the terms of this Agreement.  Where AAA reasonably believes that Royalty-Free Content is being used outside of the scope of the use granted under this Agreement, You shall, at AAA request, provide a certificate of compliance, in a form to be approved by AAA.

AAA INTELLECTUAL PROPERTY.  The Media Gallery is owned and operated by AAA and its licensors and is protected by copyright and other intellectual property laws under United States and international laws and treaties.  The compilation and arrangement of all content, data and other information found within the Media Gallery is also the sole and exclusive property of AAA and its licensors and is protected by United States and international laws and treaties.  The 'look and feel' of the Media Gallery, meaning, the structure, sequence and layout of the audiovisual components of such technology as perceived by You including, but not limited to, the color combinations, button shapes, and all other graphical and navigational elements, are also proprietary to AAA and its licensors.

USE OF THE MEDIA GALLERY.  Subject to the terms and conditions set forth herein and any third party restrictions, AAA grants you a non-transferable, non-exclusive and non-sublicensable limited right and license to view, use and access the Media Gallery.  All rights not expressly stated herein are reserved by AAA and AAA disclaims any and all implied licenses.  Without limiting the foregoing, You agree not to: (a) reverse engineer, decompile, reverse compile, translate, adapt or disassemble or other access the Media Gallery, or any part thereof; (b) copy, distribute, display, transmit or reproduce the Media Gallery, or any part thereof, in any form, including but not limited to, fonts, icons, link buttons and wallpaper; (c) publish, display, disclose, sell, rent, lease, modify, store, loan, distribute, publicly display or perform, co-brand, frame, permit third parties to link to, or create compilations or derivative works of the Media Gallery, or any part thereof, including, but not limited to, using any part of the Media Gallery to create fonts, icons, links, button, and wallpaper; (d) assign, sublicense, convey, transfer or otherwise encumber the rights and licenses granted hereunder, or (e) use the AAA Technology in any fashion that may infringe any patent, copyright, trademark, trade secret or any other intellectual property or proprietary right of AAA, its licensors or any other third party.  You agree not to access the Media Gallery by any means other than through the interface that is provided to you by AAA for use in accessing the Media Gallery.

DIGITAL MILLENNIUM COPYRIGHT ACT NOTICE.  In accordance with the Digital Millennium Copyright Act and other applicable laws, AAA has adopted a policy of terminating, in appropriate circumstances and at AAA's sole discretion, Users who infringe the intellectual property rights of AAA or any third party. VIOLATION OF THE MEDIA GALLERY TERMS OF USE.  You agree that AAA may, in its sole discretion and without prior notice, terminate your access to the Media Gallery and block your future access to the Media Gallery if AAA determines You have violated the Media Gallery Terms of Use.  AAA is not responsible in any way to any Licensor, AAA Affiliate or End User for Your breach of this Agreement.  AAA will reasonably cooperate with Licensors to assist to resolve any breach by You.  In addition to all applicable legal remedies in accordance with the terms of this Agreement, such Licensors' remedies include but are not limited to recovery for costs, disbursement, and reasonable attorneys' fees from the non-prevailing party, including but not limited to, all mediations and appeals, regarding any dispute arising out of or relating to this Agreement.  Your remedy for any Licensor's breach of this Agreement shall be solely against Licensor. 

GENERAL.  Any notice required or permitted to be given by either party to the other under this Agreement shall be in writing addressed to the other party at its registered office or principal place of business. No waiver by AAA of any breach of this Agreement by You shall be considered as a waiver of any subsequent breach of the same or any other provision.  If any provisions of this Agreement is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of this Agreement and the remainder of the provisions in question shall not be affected.  The validity of this Agreement and the interpretation and performance of all of its terms shall be governed by the laws of the State of Florida, without regard to its conflict of laws principles.  You hereby irrevocably agree to submit to the personal jurisdiction and venue of any state or federal court located in Seminole County or Orange County, State of Florida, and expressly waive any claim or defense that such forum is not convenient or proper for purposes of any action arising under this Agreement.
